TERMS OF SERVICE Stańczak Web Visuals — a service brand operated by ApplePoint Mikołaj Stańczak Last updated: 21 August 2026 §1. General provisions These Terms govern the conclusion and performance of agreements concerning design, development and implementation services provided under the Stańczak Web Visuals brand by the sole trader operating under the business name ApplePoint Mikołaj Stańczak, hereinafter the “Service Provider”. Business name: ApplePoint Mikołaj Stańczak Service brand: Stańczak Web Visuals Address: pl. Wolności 4, 98-220 Zduńska Wola, Poland Polish Tax ID (NIP): 8291759230 REGON: 544382405 E-mail: hello@stanczakweb.pl These Terms apply where an offer, order, scope confirmation or other communication concerning a project refers to them, or where the Client accepted them before cooperation began. “Client” means a natural person, legal person or organisational unit ordering a service. Where mandatory consumer protection provisions apply to the Client, those provisions prevail over these Terms. §2. Scope of services Stańczak Web Visuals provides services related to the design and creation of digital products, including website, landing page and corporate website design; UX/UI and visual interface design; WordPress implementations and custom solutions; online store design and implementation; front-end development, animation and interaction; technical preparation for SEO, performance and indexation; domain, hosting, e-mail and integration configuration where included in the agreed scope; and website maintenance, development or support where agreed by the parties. The detailed scope of each project is defined in the accepted offer, brief, written summary of arrangements or another document accepted by the parties. Work outside the accepted scope requires a separate quotation or confirmation of additional remuneration. §3. Formation of the agreement and cooperation An agreement is concluded when the Client accepts the offer or scope of work in a manner that allows the acceptance to be recorded, including by e-mail or electronic message, or by making the required advance payment. Unless the offer states otherwise, the standard payment model is 30% before work begins and 70% after completion and before final handover or publication. The Client shall provide materials, information, access to third-party services and decisions required for the project in a timely manner. Missing materials or feedback may move the schedule accordingly without the Service Provider being liable for the resulting delay. If the Client fails to respond for more than three business days, the Service Provider may reschedule the project by at least the period of delay plus the time reasonably required to reintroduce the project into the production schedule. §4. Fees and payments The fee is determined by the accepted offer, quotation or other arrangement between the parties. Unless the relevant billing document specifies a different term, payment is due within seven days. As of the effective date of these Terms, the Service Provider applies a VAT exemption and VAT is not added to the agreed fee. A change in the Service Provider’s tax status may affect future quotations and settlements to the extent required by applicable law. Late payment entitles the Service Provider to suspend work, publication, delivery of files or access, or the next stage of the project until the outstanding amount is paid. Any advance payment is credited towards the total fee. If cooperation ends before the project is completed, the parties settle the work actually performed and costs incurred up to that point. §5. Revisions and changes The number of revision rounds and the method for submitting revisions may be set out in the offer. Revisions cover changes that remain within the approved project direction. A change to the assumptions, concept, structure, visual direction, technology or functional scope after prior approval may be treated as additional work and require a separate quotation. Feedback should be provided as clearly and collectively as reasonably possible. §6. Delivery dates and acceptance Delivery dates are agreed individually. Where commencement depends on receiving materials, access credentials or an advance payment, the delivery period starts once all stated conditions are met. Delays caused by missing materials, scope changes, missing Client decisions, failures of third-party services or other circumstances outside the Service Provider’s control extend the delivery schedule accordingly. The project may be presented for approval in stages. Production publication or final handover takes place after the outstanding remuneration has been settled, unless the parties expressly agree otherwise. §7. Copyright, licences and materials The Client is responsible for ensuring that materials supplied for the project may be lawfully used, including text, photographs, trademarks, logos, fonts, video and other content. Once the fee has been paid in full, the Client obtains the right to use original project elements created for the Client to the extent resulting from the purpose of the agreement. Where the parties agree to transfer economic copyrights, the transfer takes place on the terms and in the form required by applicable law and under a separate clause or agreement. Third-party components remain subject to their respective licence terms. Once a project has been publicly launched, the Service Provider may present it in its portfolio, social media and promotional materials unless the parties agreed confidentiality or a publication restriction before work began. §8. Hosting, domains and third-party services Where a project uses third-party services such as hosting, domain registration, payment systems, e-mail services, maps, analytics, APIs, e-commerce platforms or paid plugins, the terms of those providers also apply. Recurring charges for domains, hosting, paid licences, subscriptions and third-party services are borne by the Client unless the accepted offer expressly states otherwise. §9. Liability The Service Provider shall perform the services with due professional care, in accordance with the accepted scope and the technical standards reasonably applicable to the project. The Service Provider does not guarantee a specific level of sales, number of enquiries, search-engine ranking or other business outcomes depending on factors outside the agreed scope. The Service Provider is not liable for interruptions or limitations of third-party services or for changes made to the website by the Client or third parties after handover. In business-to-business relations, liability for damage other than damage caused intentionally may be limited to the amount paid for the service directly connected with the damage, to the extent such a limitation is permitted by law. §10. Termination of cooperation Either party may end cooperation before the project is completed. In that event, the parties settle the work performed up to the termination date and the costs incurred in connection with the project. Materials, files, access credentials or code scheduled for final handover under the accepted offer are delivered once the remuneration due for the completed scope has been paid. §11. Consumers and withdrawal rights Where the Client concludes a distance contract as a consumer, or as an entrepreneur entitled to consumer protection for the relevant contract, applicable consumer protection rules apply. If the Client requests performance to begin before the statutory withdrawal period has expired and subsequently validly withdraws, the Client may be required to pay for services performed up to the time of withdrawal to the extent provided by law. The right of withdrawal may expire after full performance where the statutory conditions, including any required consent and information, have been satisfied. §12. Complaints Comments concerning performance of the service or complaints may be sent to hello@stanczakweb.pl. The notice should describe the issue and the requested solution as precisely as reasonably possible. Consumer complaints are handled within the time limits required by applicable law. Other notices are handled without undue delay. §13. Final provisions Matters not governed by these Terms are subject to Polish law. Any disputes shall be heard by the court having jurisdiction under applicable law. Nothing in these Terms limits mandatory rights of consumers or entrepreneurs benefiting from consumer protection. Amendments to these Terms do not change the terms of agreements already concluded unless the parties agree otherwise or the change results from mandatory law. The English version is provided for convenience. In the event of any discrepancy between the Polish and English versions, the Polish version prevails. These Terms are effective from 21 August 2026.
